Terms of Service — Rio
Last updated: 19 October 2026
1. Acceptance
Al Muheet Swimming Pools Construction Company, State of Kuwait ("we" or "Rio"), provides Rio, a platform for managing pool service companies. The service includes riocare.app, subscribing companies' subdomains, the mobile apps, and all related software and updates (the "Service").
By signing up for or using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You confirm that you:
- Are at least 18 years old and legally able to enter into contracts.
- Are authorized to accept these Terms on behalf of the company you register (the "Subscriber"), which is bound by them.
- Are not barred from using the Service under any law that applies to you.
3. Account and license
- We grant the Subscriber a limited, non-exclusive, non-transferable license to use the Service for its internal business during the subscription term.
- The company administrator adds users and sets their permissions. The Subscriber is responsible for all activity under its staff's accounts.
- Do not share your password with anyone, and tell us immediately about any unauthorized access.
- The Subscriber chooses its company link (its name in the site address) at sign-up. We may refuse or change a link that is reserved, misleading or infringes others' rights.
4. Subscription, pricing and billing
a. Pricing. The subscription is monthly, in US dollars. Its price depends on the plan, as shown on the pricing page and on the "My subscription" page in the Service:
- A price per serviced pool per month.
- A monthly minimum invoice.
- The invoice is the minimum, or serviced pools × the per-pool price, whichever is higher, after any advertised discount.
b. Serviced pool. A serviced pool is a maintenance contract with at least one completed visit during the month, in Kuwait time.
- Emergency, one-time and renewal contracts count with their parent contract, so they are not counted twice.
- Deleted contracts and test contracts are not counted.
- A cancelled or refunded contract counts if a visit was completed during the month.
c. First month. The plan's minimum is paid in advance at sign-up and deducted from the first month's invoice, so afterwards you pay only any difference.
d. Automatic charging.
- The invoice is issued after the end of each month and charged to the saved card.
- The Service accepts cards that support recurring monthly charges, such as Visa and Mastercard, through Tap Payments. By saving your card, you authorize us to charge each invoice due to it.
- We do not store your card details. Tap stores them under the Payment Card Industry Data Security Standard (PCI DSS).
- An invoice above the automatic-charge limit (currently USD 2,000) is sent to you with a payment link instead of being charged.
e. Failed charges.
- If a charge fails, we retry at intervals shown in your account: currently after 1 day, then after 3 more days, then after 7 more days.
- We notify you of each failed attempt, and you can pay manually or change your card at any time.
- If all attempts fail, staff access to the company's system is suspended until payment. No data is deleted, and your customers' links keep working.
f. Plan changes. Only the company administrator may change the plan, from the "My subscription" page. The change takes effect immediately.
g. Price changes. We will notify you of any price change at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new price.
h. Taxes and refunds. Prices exclude any taxes your country may impose. Amounts paid are non-refundable unless the error was ours, or to the extent the law requires.
5. Cancellation, suspension and termination
- Cancelling auto-renewal: you can cancel it at any time from the "My subscription" page.
- The Service continues until the end of the current month. Its final invoice is then charged and the staff system closes.
- You can undo the cancellation before the month ends.
- After it ends or is suspended: we keep your company's data for 3 months so you can return and find everything as you left it, then delete it permanently. You can request a copy of your data before then.
- Our suspension of the Service: we may suspend or terminate an account immediately if it breaches these Terms, is used for unlawful activity, or threatens the Service's security. Otherwise, we will give reasonable advance notice.
- Surviving terms: terms that by their nature survive termination remain in force, such as amounts due, limits of liability and governing law.
6. Your data
- Your company's data and its customers' data belong to your company. You grant us a limited license to host, process and back it up only as needed to run the Service for you, as the Privacy Policy explains.
- We may use aggregated statistics that identify no company or person, to improve the Service.
- We never give any advertiser your company's data or your customers' data, and we do not choose ads based on it.
- You are responsible for the lawfulness of the data you enter, and for obtaining any consents your staff and customers must give. This includes technicians' consent to location reading during work trips, and customers' consent to messages you send them through the Service.
- Messages and reports your company sends its customers through the Service are its responsibility, in content and lawfulness.
7. Acceptable use
You may not:
- Copy, sell, rent or grant the Service to others, or run it as a service for a third party.
- Attempt to access, decompile or reverse engineer the source code.
- Attempt to access another company's data or an account that is not yours, or bypass permissions.
- Disrupt or overload the Service, or use automated tools to scrape it.
- Use the Service to build a competing product.
- Upload or send unlawful or abusive content, content that violates others' privacy or intellectual property, malware, or unsolicited spam.
- Impersonate anyone, or falsely claim an affiliation with Rio.
- Break any law that applies to you.
8. AI features
The Service includes AI-powered features, such as translating notes and work orders between the team's languages.
- Their output is automated and may be inaccurate or incomplete.
- Review it before relying on it or sending it to others.
- It is not professional, chemical or safety advice, and does not replace a qualified technician's judgment.
9. Third-party services
Parts of the Service rely on other providers, such as Google Maps for maps and Tap Payments for payments, each with its own terms and policies. We are not responsible for their outages or errors.
Ads and offers inside the Service: the Service may show your staff ads and offers from other businesses, such as equipment and supply vendors. Any dealings with them are between you and the advertiser alone, on its terms. We do not guarantee its products or services and are not a party to those dealings. These ads never appear on pages your customers see.
10. Intellectual property
- The Service is licensed to you, not sold. We and our licensors own all rights in it, including the software, design, name and logo.
- You may not use the "Rio" name or logo without our written permission.
- We may freely use any suggestions or feedback you send us to improve the Service, without compensation.
11. Contacting you
We contact you about your account, subscription, invoices and security by email, inside the Service, or at the mobile number you registered. We send marketing messages only with your consent, and you can opt out at any time.
12. Disclaimer of warranties
- We provide the Service "as is" and "as available".
- We work to keep it available, accurate and secure, but we do not guarantee that it will be uninterrupted or error-free, or that it will meet all your needs.
- You are responsible for checking the accuracy of anything you rely on from it.
- This section does not affect rights that cannot be waived by law.
13. Limitation of liability
- To the fullest extent the law allows, we are not liable for indirect damages, including lost profits and loss of data or goodwill.
- Our total liability for any claim will not exceed the amount the Subscriber paid us in the twelve months before the claim.
- Where the law prohibits any of these limits, it applies to the extent the law allows.
14. Indemnification
The Subscriber will indemnify us against any third-party claim arising from any of the following:
- The data or content it entered.
- Its breach of these Terms or the law.
- Its reliance on AI output.
- The services it provides to its customers.
This includes reasonable legal fees.
15. Changes to the Terms and the Service
- We may update these Terms and change their date above. For material changes, we will notify you 30 days before they take effect, by email or inside the Service.
- We may develop the Service by adding, changing or discontinuing features. If we discontinue a material feature without a replacement, you may cancel your subscription.
16. Governing law and disputes
- These Terms are governed by the laws of the State of Kuwait.
- In any dispute, the party raising it notifies the other in writing with its details, and both parties try to resolve it amicably within 30 days.
- If it is not resolved, the courts of the State of Kuwait have jurisdiction.
- This does not prevent either party from seeking urgent relief to protect its rights, or us from claiming amounts due.
17. General
- These Terms and the Privacy Policy are the entire agreement between us about the Service.
- If any term is held invalid, the remaining terms stay in force.
- The Subscriber may not transfer its rights or obligations without our written consent.
- Our not enforcing a right does not waive it.
- We are not liable for delays caused by circumstances beyond our control, such as disasters, internet outages or government action.
- If the Arabic and English texts differ, the Arabic text prevails.
